Terms of Reference (TOR)

Annual General Meeting (AGM) & Election of Board Members
Dominica Association of Industry & Commerce (DAIC)

Purpose

To outline the eligibility, process, and structure related to the election of Board Members at the Annual General Meeting (AGM), and to define the responsibilities of Board Officers as guided by the Memorandum of Association.

Eligibility

  • Only paid members of DAIC are eligible to vote or be nominated for Board positions.

  • Members can participate in person or virtually and vote accordingly.

  • Members unable to attend may designate a representative via proxy (form provided).

 

Board Composition

The DAIC Board shall consist of eleven (11) members, including:

  • President

  • Senior Vice President

  • Treasurer

  • Assistant Treasurer

  • Public Relations Officer (P.R.O.)

  • Immediate Past President (automatic position)

  • Vice Presidents representing major Sub-Sectors (appointed with consent of the relevant sub-sector members)

  • Additional members elected from the floor during the AGM

For the 2025 AGM, five (5) new Directors will be elected.

Officer Responsibilities

  • President: Chief elected officer; presides over meetings; appoints committee leaders.

  • Senior Vice President: Acts on behalf of the President when absent; supports special tasks.

  • Treasurer: Oversees finances, reporting, and audited accounts for the AGM.

  • Assistant Treasurer: Supports and deputizes the Treasurer as needed.

  • Public Relations Officer: Guides media relations and public communications.

  • Immediate Past President: Offers guidance and ensures leadership continuity.

Elections & Voting

  • Nominations and voting take place during the AGM.

  • Voting is permitted virtually or in person.

  • Election results determine new Board composition effective immediately following the AGM.

Confirmation of Attendance

All members are requested to confirm in-person or virtual attendance for the Closed Session of the AGM. Virtual attendees will receive a Zoom link.
